Terms of Service

1. The agreement

By creating an account or using xD Pay (the "Service"), you agree to these Terms of Service and our Privacy Policy. If you use the Service on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.

If you don't agree with these terms, don't use the Service.

2. What xD Pay is (and isn't)

xD Pay is point-of-sale software only. It creates payment orders with CoinGate, displays QR codes, tracks payment status, and keeps your sales records.

xD Pay never holds, receives, converts, or transmits crypto or fiat money. All payment processing, currency conversion, and settlement is performed by CoinGate under your direct agreement with CoinGate.

3. Eligibility & accounts

• You must be at least 18 years old and legally able to enter contracts.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your password confidential and for all activity under your account, including accounts you create for team members.
• You are responsible for ensuring that accepting crypto payments is lawful for your business in your jurisdiction, and for your own tax and reporting obligations.
• Notify us promptly if you suspect unauthorized use of your account.

4. CoinGate relationship

To accept real payments, you need your own CoinGate account, subject to CoinGate's own terms, fees, onboarding, and compliance (KYC/AML) requirements. You authorize xD Pay to use the CoinGate key you provide to create orders and receive payment status on your behalf.

• Settlement timing, payout currencies, processing fees, refunds, and chargeback-style disputes are governed by your agreement with CoinGate — not by these terms.
• If CoinGate suspends or closes your CoinGate account, xD Pay cannot process real payments for you.
• xD Pay is an independent product and is not affiliated with, endorsed by, or operated by CoinGate.

5. Acceptable use

You agree not to use the Service to:

• Sell anything illegal in your jurisdiction or violate any applicable law, including anti-money-laundering and sanctions laws;
• Misrepresent charges to customers or process payments for a business other than the one on your account;
• Probe, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• Reverse engineer, resell, or white-label the Service without our written permission;
• Use the Service to build a competing product using automated scraping of our systems.

We may suspend or terminate accounts that violate this section.

6. Fees

xD Pay is currently free to use. CoinGate charges its own processing fees per payment under your CoinGate agreement. If we ever introduce paid plans or features, we'll announce pricing clearly in advance, and continued use of paid features will require your acceptance.

7. Your data & content

• You own your business data — sales records, notes, and account details.
• You grant us the limited rights needed to operate the Service: storing and processing your data to provide the features described on this site.
• We handle personal data as described in the Privacy Policy.
• You are responsible for the accuracy of the amounts and notes you enter, and for any receipts or records you are required to give your customers.

8. Availability & changes

We work to keep the Service available and fast, but we don't guarantee uninterrupted operation. The Service depends on third parties (hosting providers, CoinGate, blockchain networks) that are outside our control.

We may add, change, or remove features at any time. If we make a change that materially reduces core functionality, we'll give you reasonable notice where practical.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the above, we specifically do not warrant that:

• Payments will be processed, converted, or settled by CoinGate in any particular time or at any particular rate;
• The Service will be error-free or uninterrupted;
• Crypto payments are suitable, lawful, or advisable for your particular business.

Nothing on this site is financial, legal, or tax advice.

10. Limitation of liability

To the maximum extent permitted by law, xD Pay and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) USD $100.

Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

11. Indemnity

You agree to indemnify and hold harmless xD Pay and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these terms, your violation of law, or your business's dealings with its customers.

12. Termination

• By you: you can stop using the Service and delete your account at any time.
• By us: we may suspend or terminate your access if you materially breach these terms, create legal risk, or if we discontinue the Service. Where practical, we'll give you notice and a chance to export your sales records.
• Sections that by their nature should survive (your data rights, disclaimers, liability limits, indemnity) survive termination.

13. General terms

• Changes to these terms. We may update these terms; the "Last updated" date reflects the current version. For material changes we'll notify you in the app or by email before they take effect. Continued use after the effective date means you accept the updated terms.
• Entire agreement. These terms plus the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
